The #SpottedMsMoo Photo Sweepstakes (the “Sweepstakes”) is sponsored by DSE Healthcare Solutions, LLC, PO Box 1107 Madison, NJ 07940 (“Sponsor”) and administered by Vali Comms (“Administrator”). By entering, each entrant agrees to these Official Rules and to the decisions of Sponsor, which are final and binding in all matters relating to the Sweepstakes.

1. Eligibility

The Sweepstakes is open to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older at the time of entry. Employees, officers, and directors of Sponsor, Administrator, and their respective parent companies, affiliates, subsidiaries, distributors, and advertising and promotion agencies, and the immediate family members and household members of each, are not eligible to enter or win. Entry requires a valid, public Instagram account. Attendance at the ADCES 2026 Annual Conference is not required to enter, though the promotional character, Ms. Moo, will only be available for photos at that event.

2. Sweepstakes Period

The Sweepstakes begins at 8:00 a.m. Eastern Time (“ET”) on Friday, August 7, 2026 and ends at 11:59 p.m. ET on Monday, August 10, 2026 (the “Sweepstakes Period”), coinciding with the ADCES 2026 Annual Conference at the Greater Columbus Convention Center in Columbus, Ohio. Entries received outside the Sweepstakes Period will not be eligible. Sponsor's clock is the official timekeeper for the Sweepstakes.

3. How to Enter

To enter, complete all of the following steps during the Sweepstakes Period:

• Take a photo with or of Ms. Moo, the Udderly Smooth promotional character.
• Post the photo to your public Instagram account (feed post or Story; Stories must remain viewable for at least 24 hours).
• Tag [@udderlysmooth] in the post.
• Include the hashtag #SpottedMsMoo in the caption or Story.

Each completed post constitutes one (1) entry. Limit five (5) entries per person during the Sweepstakes Period; each entry must feature a distinct photo. Entries generated by script, bot, or other automated means, and entries from private accounts that cannot be viewed by Sponsor, are void. Entrants must comply with Instagram's Terms of Use and Community Guidelines.

4. Entry Requirements and Content Standards

Each entry must be the entrant's original photo, taken by the entrant or with the entrant's authorization, and must not contain content that is unlawful, obscene, defamatory, or infringing of any third party's rights. By submitting an entry that includes any person other than the entrant, the entrant represents and warrants that each person appearing in the photo (or that person's parent or legal guardian, if a minor) has consented to the photo's submission and to the uses described in Section 7. Sponsor reserves the right to disqualify any entry that, in Sponsor's sole discretion, does not comply with these Official Rules.

5. Winner Selection and Notification

One (1) potential winner will be selected in a random drawing from all eligible entries received during the Sweepstakes Period. The drawing will be conducted by Administrator on or about Friday, August 14, 2026. Odds of winning depend on the total number of eligible entries received. The potential winner will be notified via Instagram direct message from Sponsor's official account within approximately three (3) business days of the drawing and must respond within five (5) days of notification with a valid U.S. shipping address. If a potential winner does not respond within that period, is ineligible, or cannot be contacted, the prize may be forfeited and an alternate winner may be selected from the remaining eligible entries.

6. Prize

One (1) Grand Prize: a one year supply of Udderly Smooth, awarded as twelve (12) jars of Udderly Smooth Body Cream. Approximate Retail Value (“ARV”): $96.00. The prize is non-transferable and no substitution or cash equivalent is permitted, except that Sponsor reserves the right to substitute a prize of equal or greater value if the advertised prize becomes unavailable. The winner is responsible for any taxes associated with the prize. The prize will be shipped to the winner's verified U.S. address within approximately four (4) to six (6) weeks of winner confirmation.

7. Photo Usage Rights and Publicity Release

By entering, each entrant grants Sponsor, Administrator, and their respective affiliates, agencies, licensees, and assigns a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, reproduce, edit, adapt, publish, display, distribute, and create derivative works from the entry photo, in whole or in part, in any and all media now known or hereafter developed, including without limitation the Udderly Smooth website, social media channels, email, advertising, packaging, trade materials, and public relations materials, for advertising, promotional, and commercial purposes, without further notice, review, approval, or compensation, except where prohibited by law.

Except where prohibited, entry also constitutes each entrant's consent for Sponsor to use the entrant's Instagram handle, name, photograph, likeness, and city and state of residence for advertising and publicity purposes in connection with the Sweepstakes and the Udderly Smooth brand, in any media, without additional compensation. Entrants retain ownership of their photos; the license granted here does not transfer copyright.

8. General Conditions

Sponsor reserves the right to cancel, suspend, or modify the Sweepstakes if fraud, technical failure, or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion. Sponsor reserves the right to disqualify any individual it finds to be tampering with the entry process or acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Sponsor is not responsible for lost, late, misdirected, incomplete, or unintelligible entries, or for any technical malfunctions of Instagram or any network, hardware, or software.

9. Release and Limitation of Liability

By entering, each entrant releases and holds harmless Sponsor, Administrator, Instagram (Meta Platforms, Inc.), the Association of Diabetes Care and Education Specialists (ADCES), the Greater Columbus Convention Center, and each of their respective parents, affiliates, subsidiaries, and advertising and promotion agencies, and all of their respective officers, directors, employees, and agents, from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of the prize.

10. Privacy

Information collected from entrants will be used to administer the Sweepstakes and fulfill the prize, and otherwise in accordance with Sponsor's privacy policy.

11. Not Sponsored by Instagram

This promotion is in no way sponsored, endorsed, administered by, or associated with Instagram or Meta Platforms, Inc. Each entrant understands that they are providing information to Sponsor and not to Instagram. Any questions, comments, or complaints regarding the Sweepstakes must be directed to Sponsor, not Instagram.

12. Disputes

Except where prohibited, all issues and questions concerning these Official Rules or the Sweepstakes shall be governed by the laws of the State of New Jersey, without giving effect to any choice of law or conflict of law rules. Any dispute shall be resolved individually, without resort to any form of class action.
